These terms form a contract between you and Broomerr Media Ltd when we accept your order or provide access to a product.
Please read the product listing, these terms, the applicable licence terms and our Cancellation and Refund Policy before ordering. Mandatory rights under applicable consumer law continue to apply.
About Broomerr Media
Broomerr Media Ltd is the supplier of the products described in our listings. Whop provides the marketplace and payment-processing services for purchases made through Whop. Whop is not the supplier or licensor of our products, except to the limited extent stated in Whop's own terms.
Eligibility
You must be at least 18 years old to place an order. By ordering for an organisation, you confirm that you have authority to bind that organisation. You must provide accurate contact, billing and account information and keep your account secure.
Product information and order formation
Each product listing should identify the product, price, licence, access period or subscription frequency, compatibility requirements and delivery method. Please check those details before ordering. Images and demonstrations are illustrative, but the written description, stated features and disclosed compatibility form part of the contract.
An order is an offer to buy. A contract is formed when we or Whop confirm acceptance or make the product available, whichever happens first. We may reject or cancel an order before acceptance if the product is unavailable, the price is clearly incorrect, fraud is suspected, or the order would breach law or platform rules. Any payment taken for a rejected order will be returned.
Prices taxes and payment
Prices and billing currencies are shown before checkout. Broomerr Media Ltd is not currently registered for UK VAT. Taxes may nevertheless be calculated, collected or remitted by Whop or another payment provider where required by the buyer's location or applicable law. You are responsible for any taxes that apply to your own use, resale or business activity.
Payment is processed by Whop or another stated provider. We do not normally receive complete payment-card details. Payment-provider terms and fraud checks may also apply.
Delivery access and account requirements
Products may be delivered by immediate download, access inside Whop, an external application, a licence key, an email or a combination of these methods. The listing or order confirmation will state the delivery method and access period. You are responsible for using a valid email address, maintaining access to your account and meeting disclosed technical requirements.
Delivery is complete when the download, access credential, licence key or account access is made available using the stated method. If delivery does not arrive or access fails, contact us promptly so that we can investigate.
Digital content and immediate supply
Where a consumer asks us to supply digital content during a statutory cancellation period, supply may begin only after any consent and acknowledgement required by law has been obtained. If valid consent and acknowledgement are obtained, the consumer may lose the statutory right to cancel once supply begins. If they are not obtained, the consumer retains the rights provided by law.
This does not remove rights relating to digital content that is faulty, unsafe, not as described or otherwise does not conform to the contract.
Subscriptions
A subscription listing will state the billing amount, frequency, minimum term if any, included access and how to cancel. Unless the listing states a fixed term that does not renew, subscriptions renew automatically and the payment method on file may be charged at each renewal.
You may cancel through the available Whop account controls or by contacting us. Cancellation normally stops future renewals and access continues until the end of the paid billing period, unless the listing, applicable law or a remedy for breach provides otherwise. Cancellation does not by itself create a refund for a period already supplied.
We will provide renewal reminders, cooling-off information and straightforward cancellation methods where required by the law applying at the time of the contract. Any statutory initial or renewal cooling-off right remains unaffected.
Licences and permitted use
A purchase gives you the licence stated on the product page or in the product documentation. Available licences may include personal, commercial, extended commercial or white-label rights. If no licence is expressly stated, the default is a personal, non-exclusive, non-transferable licence for one purchaser.
Our End User Licence Agreement applies to licensed products. Product-specific licence terms take priority where they clearly identify the product and differ from the general EULA. Buying a product does not transfer copyright, trade marks, source files or other intellectual property except for the limited licence granted.
Acceptable use
Unless the applicable licence expressly allows it, you must not:
- share accounts, licence keys, download links or source files with another person
- resell, sublicense, redistribute or publish the digital files or software
- remove ownership notices or claim that our underlying work is your own
- reverse engineer, decompile or circumvent access controls except where applicable law expressly permits it
- use a product unlawfully, to infringe another person's rights, or to create harmful or deceptive material
- use personal-use assets for commercial production or resale
Updates compatibility and third party services
We may issue fixes, security updates or feature changes during the stated access period. You should install important updates. Compatibility is limited to the systems, formats and versions disclosed on the product page. Third-party platforms, browsers, devices, fonts, software and services may change or become unavailable, and their own terms apply.
Support
Support is provided through the contact method stated on the product page or by email. Support covers reasonable help with access and documented product operation. It does not include custom development, installation on unsupported systems, business consulting or training unless expressly included.
Cancellations refunds and remedies
Our Cancellation and Refund Policy explains how we handle cancellations and refund requests. We do not offer a general try-before-you-buy or change-of-mind guarantee after digital delivery has begun. However, we will honour mandatory consumer rights and provide appropriate remedies where a product is faulty, materially misdescribed or does not perform as promised.
Suspension and termination
We may suspend or terminate access where reasonably necessary to address fraud, non-payment, unlawful use, security risk, account sharing, licence infringement or a material breach of these terms. Where practical, we will explain the reason and give an opportunity to remedy a remediable breach. Termination does not affect accrued rights or obligations that are intended to continue.
Intellectual property
The products, website content, branding, software, designs, documentation and source materials are owned by or licensed to Broomerr Media Ltd. All rights not expressly granted are reserved. Feedback may be used to improve our products, but we will not treat your confidential information as public feedback.
Our responsibility
Nothing in these terms excludes or limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or mandatory consumer rights.
For consumers, we are responsible for losses that are a foreseeable result of our breach or failure to use reasonable care and skill. We are not responsible for business losses suffered by a consumer, or for losses caused by unsupported configurations, misuse, unauthorised modifications, third-party outages or a failure to follow supplied instructions.
For business customers, to the fullest extent permitted by law, we are not liable for loss of profit, revenue, business, anticipated savings, goodwill or indirect or consequential loss. Our total liability arising from a product will not exceed the amount paid for that product during the 12 months before the event giving rise to the claim, except where liability cannot lawfully be limited.
Privacy
Our Privacy Policy explains how we use personal data. Whop and other service providers may also process data under their own privacy notices.
Changes to products and terms
We may update these terms for legal, security, platform or operational reasons. The version accepted at purchase normally governs that order. Material changes affecting an active subscription will be communicated as required by law and will not remove accrued rights. Product features may change during an access period only where the contract and applicable law permit the change.
Governing law and disputes
These terms are governed by the law of England and Wales. If you are a consumer, this choice does not remove mandatory protections provided by the law of the country where you normally live, and you may bring proceedings in any court available to you under applicable consumer law. Business customers agree that the courts of England and Wales have exclusive jurisdiction.
Please contact us first so that we can try to resolve a complaint. Nothing in this section prevents either party from seeking urgent court relief or using any mandatory dispute process.
