This agreement applies together with the product listing, order confirmation and any product-specific licence schedule.
Acceptance and order of terms
You accept this agreement by downloading, accessing, installing, copying or using a licensed product. If you do not agree, do not use the product and contact us promptly to discuss any cancellation right that remains available.
A product-specific licence or written licence schedule takes priority over this agreement where it clearly identifies the product and the conflicting term. The product listing takes priority for the access period, number of users, permitted outputs and commercial rights. Mandatory law takes priority over all contractual terms.
Licence types
If no licence type is expressly stated, the default is a personal, non-exclusive, non-transferable, revocable licence for one purchaser. No product includes white-label, resale, redistribution or sublicensing rights unless those rights are expressly stated.
| Licence | Typical permission |
|---|---|
| Personal | Use by one purchaser for personal, non-commercial projects |
| Commercial | Use by the named purchaser or business to create permitted end products for sale or client work, subject to the product limits |
| Extended commercial | Broader commercial production or higher volume rights only as stated in the product-specific licence |
| White label or resale | Rebranding, resale or sublicensing only to the extent expressly stated in the product-specific licence |
| Software or hosted access | Use by the stated number of users, devices or accounts for the stated access period |
Licence grant
Subject to payment and compliance with this agreement, we grant you the licence identified at purchase for the stated access period. The licence is limited to the product, users, devices, projects, output quantities, territory and purposes stated in the product-specific terms.
A commercial licence may permit sale of finished physical or digital end products created using the asset, but it does not permit sale or distribution of the source asset, editable file, software, template or a substantially equivalent extract unless expressly stated.
Creative files and maker assets
For graphics, laser files, 3D-print files and similar maker assets, the product-specific licence should state whether you may modify the file, manufacture physical items, sell finished items, use a production partner, or create client work. Unless expressly allowed, you may not distribute the digital file, include it in a digital bundle, upload it to a shared library, or sell an editable derivative that allows the original asset to be extracted.
You are responsible for safe equipment operation, material choice, local product-safety rules and verifying that a design is suitable for your machine, settings and intended use. Test files and prototypes before commercial production.
Software and online tools
Software and hosted products may be limited by user, device, account, workspace or subscription. You must not share credentials or licence keys outside the licensed users. Hosted access may depend on Whop, browser, network and third-party services. The stated access period, support scope and update entitlement are shown on the product page.
Permitted copies and backups
You may make a reasonable backup copy for your own licensed use. Every copy remains subject to this agreement and must retain ownership notices. A backup copy may not be shared, sold or used to increase the number of licensed users or devices.
Restrictions
Unless a product-specific licence expressly permits it, you must not:
- sell, rent, sublicense, redistribute, publish, upload or share the product or source files
- provide the product through a template library, stock library, download site, file-sharing service or competing product
- allow another person to use your account, licence key or download entitlement
- remove copyright, trade mark, licence or attribution notices
- reverse engineer, decompile, disassemble or circumvent technical restrictions except where applicable law expressly allows it
- use the product to infringe rights, break the law, create malware, deceive users or facilitate harmful activity
- represent the underlying Broomerr Media product as your original work, except for branding rights expressly granted by a white-label licence
- use an asset as training data for an artificial-intelligence model or dataset unless the product-specific licence expressly allows it
Ownership
The product is licensed, not sold. Broomerr Media Ltd and its licensors retain copyright, trade marks, source code, design rights and all other intellectual-property rights in the product. You own your original content and, subject to the licence, the permitted end products you create, but not the underlying licensed material.
Third party materials
A product may include open-source software, fonts, stock elements or other third-party materials governed by separate terms. Those terms apply to the relevant component. Where required, notices or licence files will be supplied with the product. You are responsible for obtaining any third-party item identified as not included.
Updates support and access period
Updates and support are provided only for the period and scope stated on the product page. A licence does not provide lifetime, perpetual or indefinite hosted access. If a downloadable product may be kept after the access period, that permission will be stated, but future downloads, support and updates may end when the access period ends.
Confidential and prerelease material
Beta, preview or prerelease products may contain defects and may change before release. If material is identified as confidential, you must use reasonable care to protect it and must not disclose it except to licensed users who are bound by equivalent duties.
Termination
The licence ends automatically if you materially breach this agreement and do not remedy a remediable breach after reasonable notice, or immediately where the breach involves deliberate redistribution, piracy, fraud or unlawful use. On termination you must stop using the product and delete copies, except for records that law requires you to keep. Termination does not affect accrued rights or mandatory consumer remedies.
Product performance and consumer rights
We warrant that paid digital content will materially match its description and that services will be provided with reasonable care and skill, subject to the disclosed requirements and limitations. If you are a consumer, statutory rights relating to satisfactory quality, fitness for purpose, description, repair, replacement, price reduction and refund are not excluded.
We do not warrant that every product will meet an undisclosed purpose, work with an unsupported system, operate without interruption, or remain compatible with every future third-party change.
Liability
Nothing in this agreement excludes or limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or mandatory consumer rights.
For consumers, we are responsible for foreseeable loss caused by our breach or failure to use reasonable care and skill. We are not responsible for business loss suffered by a consumer or loss caused by unsafe equipment use, unsupported configurations, unauthorised modification or failure to follow instructions.
For business users, to the fullest extent permitted by law, we are not liable for loss of profit, revenue, business, anticipated savings, goodwill or indirect or consequential loss. Our aggregate liability relating to a product will not exceed the amount paid for that product during the 12 months before the event giving rise to the claim, except where liability cannot lawfully be limited.
Export and sanctions compliance
You must not use, export or transfer a product in breach of applicable sanctions, export-control or trade laws. You confirm that you are not using the product for a prohibited end use or on behalf of a prohibited person.
Changes to this agreement
The version accepted at purchase normally governs that licence. We may update this agreement for future purchases or where a change is reasonably required for law, security or a hosted service. A material change will not remove rights already granted without a lawful basis and appropriate notice.
Governing law
This agreement is governed by the law of England and Wales. Consumers retain mandatory protections and court rights provided by the law of the country where they normally live. Business users agree that the courts of England and Wales have exclusive jurisdiction.
